୨ৎ 'Artist' shall refer the person who is creating the commissioned artwork (hereinafter referred to as ‘the Commission’).୨ৎ ‘Client’ shall refer to the person who is purchasing the Commission.The Artist shall not be held liable if the Client does not read the Terms of Service (hereinafter referred to as ToS).୨ৎ The ToS is subject to change without notice. Returning Clients are encouraged to check the latest date in (Latest Changes) to see any latest additions to the ToS.୨ৎ Clients with ongoing Commissions will only have to adhere to the version of the ToS before the Commission Order. However, submission for a new Commission Order will require confirmation of the new ToS.୨ৎ The terms stipulated in this ToS will be effective from the following date of update listed below. 𑣲⋆ PAYMENTS and REFUNDS !
୨ৎ Payments will only be made through contactless, digital payment. Physical payment shall not be accepted.୨ৎ Payments shall only be through Ko-Fi. Alternative payment methods ARE NOT accepted.୨ৎ All pricing and payments shall be in the EURO (€) currency. Hereinafter, referred to as 'EUR'.୨ৎ All Payments for Commission Orders shall be made through the Ko-Fi 'tipping' function.୨ৎ The Artist accepts only Half-Payments.୨ৎ Half Payments shall refer to the method of payment, where the Client shall pay in two installments to the Artist. The first installment shall be paid before the Artist begins the Commission. The second installment shall be paid before the delivery of the final Commission.୨ৎ If the Client incurs any additional charges and/or fees after payment of the first installment, the costs will be included in the second installment.୨ৎ The Artist shall ONLY provide refunds during exceptional situations wherein the Artist;
> a) is incapable of accomplishing the delivery of the Commission either due to events of force majuere or other unforeseen events and/or;
> b) the Artist decides to cancel the Commission Order after the first installment and before the payment of the second installment for any reason.୨ৎ The Artist shall NOT provide refunds unless the situations falls into either of the categories set forth in the clause above.୨ৎ Client shall receive an automatic refund in any event that includes the Artist cancelling the Commission Order after the Artist has accepted payment from the Client.୨ৎ The Client SHALL NOT issue a chargeback or any requests of refunds. (Refer to 'Breaches of Terms' for more information).୨ৎ The Prices of the Commissions are adjusted accordingly to take into account of the fees incurred by Ko-Fi.
𑣲⋆ RIGHTS and USAGES!
୨ৎ Artist retains all rights to the works created by the Artist, Commissioned pieces are included.୨ৎ The Artist does not claim any right to the IP or source material of fan art or fan-made content, whether in personal works or in Commissioned works. The Artist only claims the rights tied to the work created by the Artist directly (e.g.; fan art, fan fiction, fan works, etc).୨ৎ Unless agreed otherwise between Client and Artist, the Artist reserves the right to display, exhibit, demonstrate, (etc) the Commissione. This is included but not limited to online and offline exhibitions, portfolios, websites, and more.୨ৎ Commissions made by Artist shall include a small watermark on the Commission. This is not removable or negotiable.୨ৎ The position of the watermark of the Commission may be decided by Client prior to the completion of the Commission.୨ৎ The Client shall not be allowed under any circumstances to remove the watermark of the Artist from the Commission. Removal of the watermark shall constitute as a violation of the ToS.୨ৎ The Artist shall not accept any Commission Orders for Commercial Use. All Commissions created by the Artist shall only be used for Personal Use only.୨ৎ ‘Personal Use’ refers to the usage of the Commission for the purposes of non-commercial activities. Clients shall not profit off of the distribution or sale of the Commission.
> Permissible usage of the Commission shall include but are not limited to:
>> Digital usage: Using the Commission for icons, banners, streaming, websites, and etc.
>> Physical usage: Printing the Commission into charms, stickers, posters, postcards, etc.୨ৎ ‘Commercial Use’ refers to the usage of the Commission for the purposes of commercial activities. Which includes any activities where the Commission shall be used for the purposes of activities that may earn the Client profit.
> Non-permissible usage of the Commission shall include but are not limited to:
>> Digital use: Using the Commission to create digital merchandise to distribute and sale for profit as exclusive digital products such as wallpaper, art book, etc.
>> Physical usage: Printing the Commission to create physical merchandise to distribute and sale for profit, such as commercial charms, posters, zines, etc.
𑣲⋆ PROCESS and DELIVERY !
୨ৎ Delivery of the completed Commission will ONLY be done via Discord Direct Messages, Email and/or Google Drive Link.୨ৎ The Commission shall be completed within 2 months. This timeframe shall begin from the day when the first installment payment for the Commission has been received by the Artist.୨ৎ The Artist shall not accept any specific deadlines requested by the Client.୨ৎ In the event of force majeure or any unforeseeable situation occuring, that causes the interferences of the process of creating the Commission or the delivery of the Commission to the Client. The Artist shall notify the Client of the event and the delay of the Commission as soon as possible.୨ৎ If the Client wants to cancel the Commission due to the delay of Delivery, the Artist shall refund the Client.୨ৎ Refunds due to delays shall not entitle the Client to the Commission, regardless of the degree of progression of the Commission during the time of cancellation. (e.g.; if the Commission is close to completion and the Client wishes to cancel on the basis of the delay, the Commission shall not be given to the Client after the cancellation.)୨ৎ Until the completion of the Commission, the Artist shall provide progress updates periodically to the Client at the Artist's will and/or at the behest of the Client.୨ৎ All progress updates will take place through the chosen method of communication, which shall ONLY be via Discord Direct Messaging and/or Email.୨ৎ In the event where the Client does not answer or provide clarification or any follow-up communication, through the method of communication, after a progress update from the Artist. The Commission will then be 'paused' and put on hold until further communication has been established.୨ৎ Should this lack of communication persist for more than 15 weeks starting from the date of the last message sent by the Artist to the Client, the Commission shall be annulled.୨ৎ The Artist shall send a notice of 'Annulment of Commission' to the Client through Email, 2-3 days before the effective date. Once effective, the Client shall not receive the Commission or refund of the Commission from the Artist.୨ৎ The Commission Order shall be considered completed when the Artist has received the full payment AND the Client has confirmed, through writing via the method of communication, the receipt of the Commission file.୨ৎ To mark the completion of the Commission Order and the obligations of the Artist and Client, the Artist will send an official 'Thank-You' Message.୨ৎ After the completion of the Commission Order, the Client or Artist shall not have any further obligations towards the other besides upholding any existing and/or pre-established boundaries and obligations set forth before the completion of the Commission Order.
𑣲⋆ BREACHES of TOS!
୨ৎ Client shall be found in breach of the Terms of Service if the Client has been found to have violated any of the previous clauses mentioned in the previous sections.୨ৎ In the event where the Client has violated any of the clauses within the Terms of Service, the Artist shall blacklist the Client and shall refuse to accept any Commission Order from them.୨ৎ Serious breaches including but not limited to improper chargebacks or improper usage of the Commission, shall result in the Client losing all rights to the Commission, getting blacklisted and informing fellow artists of this behavior.୨ৎ Once a (former) Client has lost all rights to the Commission, the Client will not be able to enjoy or exercise the usage rights of the Commission. Should a Client continue to use the Commission in spite of this, the Artist shall file Copyright claims.୨ৎ Improper, rude, abusive mannerisms and/or language used during the communication between Client and Artist throughout the Commission Process would also constitute as a Breach of Terms. Determined by the severity of the circumstances.
> In the event of very severe situations, the Artist shall cancel the Commission Order. This form of cancellation shall not provide a refund to the Client.⊹₊˚‧︵‿₊୨ᰔ୧₊‿︵‧˚₊⊹୨ৎ Type in the following in the Commission Order form to complete your Order:CHERRY!
𑣲⋆ Policy on AI !
୨ৎ The term of ‘Use of Artificial Intelligence (hereinafter referred to as ‘AI’),’ refers to the utilization of AI Software, regardless of the form and manifestation of said utilization, towards the Commission.୨ৎ ‘AI Software’ refers to any software, that currently exists or will exists, which holds the ability to utilize AI, in order to modify, alter, or train said software using digital picture files. Such software would include but are not limited to; ‘Chat GPT’, ‘Sora AI’, ‘Grok’, ‘Midjourney’, etc.୨ৎ The Artist reserves the right to prohibit any form of AI to be used on the Commission BEFORE and AFTER dispatch of delivery of the Commission. The Prohibited Acts include but are not limited to;
> training AI Software using the Commission;
> modifying the Commission, altering the Commission;
> creating new content using data extracted from the Commission, etc.୨ৎ This obligation shall continue to be in force after the successful completion of the Commission.
